Please read these Terms of Service carefully before using the WatchParty mobile application. By using our Service, you agree to be bound by these Terms.
1. Acceptance of Terms
By accessing or using the WatchParty mobile application ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of the terms, you may not access the Service.
These Terms apply to all visitors, users, and others who access or use the Service. By using the Service, you represent that you are at least 13 years of age (or the applicable age of consent in your jurisdiction) and have the legal capacity to enter into these Terms.
2. Description of Service
WatchParty is a real-time sports watch-party platform that provides users with the ability to:
- Join virtual rooms to discuss live sporting events with other fans in real-time.
- Follow their favorite teams and sports to receive personalized content and notifications.
- Read curated sports news articles and content.
- Send and receive messages, reactions, and mentions within watch party rooms.
- Earn badges, achievements, and engagement rewards for participation.
- Receive push notifications about events, rooms, and social interactions.
- View live scores and event updates.
The Service is provided "as is" and may be modified, updated, or discontinued at any time without prior notice. We reserve the right to add, change, or remove features at our sole discretion.
3. User Accounts
3.1 Account Creation
When you create an account with us, you must provide information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account.
3.2 Account Security
- You are responsible for safeguarding the authentication credentials (password or OAuth tokens) that you use to access the Service.
- You agree not to share your account credentials with any third party.
- You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.
- You are responsible for all activities that occur under your account.
3.3 Account Information
You may update your account information, including your display name, bio, profile picture, and favorite teams, through the App settings at any time. You agree to keep your account information current and accurate.
4. User Conduct
You agree not to use the Service to:
- Violate any local, state, national, or international law or regulation.
- Transmit any material that is abusive, harassing, threatening, defamatory, vulgar, obscene, pornographic, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable.
- Harm minors in any way.
- Impersonate any person or entity, or falsely state or otherwise misrepresent yourself or your affiliation with any person or entity.
- Engage in spamming, including sending unsolicited messages, promotions, or advertisements.
- Interfere with or disrupt the Service or servers or networks connected to the Service.
- Attempt to gain unauthorized access to any portion of the Service, other user accounts, or computer systems or networks.
- Use automated scripts, bots, or other automated means to access or interact with the Service.
- Collect or store personal data about other users without their consent.
- Engage in any activity that could damage, disable, overburden, or impair the Service.
- Circumvent, disable, or otherwise interfere with security-related features of the Service.
5. User Content
5.1 Your Content
Our Service allows you to post, send, and share messages, reactions, and other content ("User Content"). You are solely responsible for the User Content that you post, including its legality, reliability, and appropriateness.
5.2 License Grant
By posting User Content to the Service, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such User Content in connection with operating and providing the Service.
5.3 Content Representations
You represent and warrant that:
- You own or have the necessary rights to use and authorize us to use your User Content.
- Your User Content does not infringe upon the intellectual property rights of any third party.
- Your User Content does not violate the privacy or publicity rights of any third party.
- Your User Content does not contain any material that is unlawful, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable.
5.4 Content Visibility
User Content posted in watch party rooms is visible to all participants in those rooms. Your username and profile information will be displayed alongside your messages. Please be mindful of what you share.
6. Content Moderation
6.1 Our Rights
We have the right, but not the obligation, to monitor, review, and moderate all User Content. We may, in our sole discretion:
- Remove or refuse to display any User Content that violates these Terms or our community guidelines.
- Remove or edit User Content without prior notice.
- Disclose User Content or user information to law enforcement or government authorities when required by law or when we believe disclosure is necessary to protect our rights or the safety of others.
6.2 Message Deletion
Messages that violate our Terms or community guidelines may be deleted by our moderation team. Deleted messages are removed from public view but may be retained in our systems for a limited period for moderation and legal purposes.
6.3 No Liability
We assume no responsibility and deny any liability for User Content posted by you or any other third party. We do not endorse any User Content or any opinion, recommendation, or advice expressed therein.
7. Reporting & Community Safety
7.1 Reporting Violations
You may report User Content or users that you believe violate these Terms or our community guidelines. Reports can be submitted through the App's reporting feature.
7.2 Report Review
We review reports and take appropriate action, which may include:
- Warning the user about their behavior.
- Removing the reported content.
- Temporarily or permanently suspending the user's account.
- Taking no action if the report is unfounded.
7.3 Auto-Flagging
Users or content that receive multiple reports may be automatically flagged for priority review by our moderation team. This helps us maintain community safety and respond quickly to potential violations.
7.4 False Reports
Submitting false or malicious reports is a violation of these Terms. Users who repeatedly submit false reports may have their reporting privileges restricted or their accounts suspended.
8. Watch Party Rooms
8.1 Room Participation
Watch party rooms are created for specific sporting events. By joining a room, you agree to:
- Engage respectfully with other participants.
- Keep discussions relevant to the sporting event.
- Follow all applicable conduct rules outlined in Section 4.
8.2 Room Lifecycle
Rooms are typically opened automatically before events and closed after events conclude. The specific timing depends on the sport and event type. Rooms and their content are typically deleted 7 days after the room closes.
8.3 Room Features
Rooms may include features such as:
- Real-time chat messaging.
- Emoji reactions to messages.
- User mentions and replies.
- Live score updates (when available).
- Participant counts and activity indicators.
8.4 Automated Room Engagement
We may use automated systems to enhance room engagement during sporting events, including posting event updates, score changes, and other relevant information. Any automated content is clearly identified as such.
9. Engagement & Gamification
9.1 Badges and Achievements
The Service includes gamification features that allow you to earn badges and achievements based on your participation and engagement. These include, but are not limited to:
- Participation badges for joining watch parties.
- Activity badges for sending messages and reactions.
- Milestone badges for reaching certain usage thresholds.
- Special event badges for participating in featured events.
9.2 Engagement Scoring
We calculate engagement scores based on your activity within the Service. These scores are used to:
- Personalize your experience and recommendations.
- Determine eligibility for certain features or programs.
- Improve our Service and understand user behavior.
9.3 Engagement Tiers
Based on your engagement score, you may be classified into different engagement tiers (such as super_fan, engaged, casual, or dormant). These tiers are for internal purposes and may affect the content and notifications you receive.
9.4 No Monetary Value
Badges, achievements, engagement scores, and tiers have no monetary value and cannot be exchanged, sold, or transferred. We reserve the right to modify, remove, or reset any gamification features at any time.
10. Notifications
10.1 Types of Notifications
By using the Service, you may receive various types of notifications, including:
- Room notifications when events you follow are about to start or are live.
- Social notifications for mentions, replies, and reactions to your messages.
- Invitation notifications for party invites from other users.
- Reminder notifications before events begin.
- Service announcements and updates.
10.2 Notification Consent
By enabling push notifications on your device, you consent to receive notifications from the Service. You can manage your notification preferences at any time through the App settings.
10.3 Essential Notifications
Certain notifications related to your account security, Terms updates, or critical service information may be sent regardless of your notification preferences.
11. News & Articles
11.1 Third-Party Content
The Service may display news articles and content from third-party sources. This content is provided for informational purposes only and we do not endorse or guarantee the accuracy of any third-party content.
11.2 Article Usage
Articles displayed in the Service are subject to the copyright and terms of their respective publishers. You may read and share articles within the Service, but redistribution or commercial use of article content outside the Service may be prohibited.
11.3 Auto-Generated Content
Some content, such as room previews and event summaries, may be automatically generated. This content is provided for convenience and may not be comprehensive or completely accurate.
12. Intellectual Property
12.1 Our Property
The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of WatchParty and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries.
12.2 Trademarks
Our trademarks, service marks, and logos may not be used in connection with any product or service without our prior written consent.
12.3 Third-Party Rights
Sports team names, logos, and related content are the property of their respective owners and are used in the Service under license or fair use. We do not claim ownership of any third-party intellectual property.
13. Termination
13.1 Termination by Us
We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including:
- Violation of these Terms.
- Engaging in prohibited conduct as outlined in Section 4.
- Receiving multiple reports from other users.
- Any behavior that we determine, in our sole discretion, to be harmful to other users or the Service.
13.2 Termination by You
You may terminate your account at any time by requesting account deletion through the App settings or by contacting us directly.
13.3 Effect of Termination
Upon termination, your right to use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
14. Account Deletion
14.1 Deletion Process
When you request account deletion, your account enters a 30-day archive period during which:
- Your account is deactivated and you cannot log in.
- Your profile is hidden from other users.
- Your data is preserved in case you change your mind.
14.2 Account Restoration
During the 30-day archive period, you may contact us to restore your account. After this period, deletion becomes permanent and cannot be reversed.
14.3 Data Handling
After permanent deletion:
- Your profile information is removed.
- Your messages are anonymized (attributed to "Deleted User").
- Your reactions and mentions are removed.
- We may retain certain anonymized or aggregated data as described in our Privacy Policy.
15. App Updates & Maintenance
15.1 Updates
We may release updates to the App from time to time. Some updates may be required to continue using the Service. We may implement force update mechanisms that require you to update the App before continuing to use certain features.
15.2 Maintenance
We may perform maintenance on the Service that temporarily limits or suspends availability. We will attempt to provide advance notice of scheduled maintenance when possible, but reserve the right to perform emergency maintenance without notice.
15.3 Feature Changes
Features of the Service may be added, modified, or removed at any time without notice. We are not obligated to maintain, support, or update any particular feature.
16. Disclaimer of Warranties
YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. THE SERVICE IS PROVIDED WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO:
- IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
- WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.
- WARRANTIES REGARDING THE ACCURACY OR RELIABILITY OF ANY INFORMATION OBTAINED THROUGH THE SERVICE.
- WARRANTIES THAT ANY DEFECTS IN THE SERVICE WILL BE CORRECTED.
NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM US OR THROUGH THE SERVICE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.
17. Limitation of Liability
IN NO EVENT SHALL WATCHPARTY, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR:
- ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
- ANY LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
- DAMAGES RESULTING FROM YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE.
- DAMAGES RESULTING FROM ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE.
- DAMAGES RESULTING FROM ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS OR ANY PERSONAL INFORMATION STORED THEREIN.
THE FOREGOING LIMITATIONS SHALL APPLY REGARDLESS OF THE LEGAL THEORY UPON WHICH DAMAGES MAY BE CLAIMED AND REGARDLESS OF WHETHER WATCHPARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
18. Indemnification
You agree to defend, indemnify, and hold harmless WatchParty and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:
- Your violation of these Terms.
- Your User Content.
- Your use of the Service.
- Your violation of any rights of a third party.
19. Governing Law
These Terms shall be governed and construed in accordance with the laws of the United States and the State of Delaware, without regard to its conflict of law provisions.
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in effect.
20. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will:
- Provide at least 30 days' notice prior to any new terms taking effect.
- Post the updated Terms on this page with a new "Last updated" date.
- Notify you through the App or via email about significant changes.
By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you must stop using the Service.
